When the Shipowner and the Charterer negotiate the terms and conditions of Voyage Charter, there are several important clauses that must be agreed on:

LAYCAN – the specified period of time during which the Shipowner is to present the vessel to an agreed port and put her at the Charterer’s disposal. The earliest date is called LAYDAYS and the deadline is known as CANCELLING.

If the vessel is delayed, the Owner may be liable for damages due to breach of contract. Thus, the Owner and the Master are to ensure that the vessel reaches the nominated destination and is put at the disposal of the Charterer within LAYCAN period.

The risk of delay during the sea voyage rests with the owner!

The ship is deemed at the disposal of the Charterer when she can be considered as an arrived ship.

Clear definition of “arrived ship” is very important for commencement of LAYTIME.

LAYTIME – the specified period of time allowed for the Charterer to carry out cargo operations without additional payment other than the agreed freight.

LAYTIME cannot begin until certain requirements are met, and particular events take place which will «trigger off» the commencement of LAYTIME.

Charter Party provisions cover scenarios, wherein the Charterer doesn’t precisely fulfil the terms and conditions of the agreement in the matter of LAYTIME—either doesn’t meet the deadline or, on the contrary, completes cargo operations before Laytime expires.

If the Charterer doesn’t meet the deadline, the Owner incurs unexpected expenses.

DEMURRAGE – the period beyond LAYTIME and the pre-agreed amount of compensation (liquidated damages) to the Shipowner by the Charterer for the time lost and expenditures for keeping the ship in the port beyond Laytime.

As a rule, the period of time allowed for DEMURRAGE is agreed in the Charter Party. If the allowed demurrage time has expired and the Charterers still haven’t completed cargo operations, the Shipowner will be entitled to damages for DETENTION.

DETENTION – the period beyond DEMURRAGE and the amount of money that hasn’t been ascertained in advance (unliquidated damages), compensated by the Charterer to the Shipowner if the vessel is delayed at the port.

The risk of delay during the ship’s stay in port rests with the Charterer!

If the Charterer manages to complete cargo operations before Laytime expires, there’s a common practice for the Shipowner to reward the Charterer for the time saved (difference between Laytime and the time actually spent).

DESPATCH – the monetary reward to the Charterer if cargo operations are completed before the Laytime expires.

For the Master, understanding these key provisions is not just about knowing the Charter Party terms — it’s about representing the Shipowner professionally and protecting their interests.

This knowledge enables the Master to navigate potential disputes, document key events accurately, and communicate effectively with all stakeholders, from Charterers to port authorities.

In shipping, timing is everything, and the Master’s expertise in these provisions can make all the difference between a smooth voyage and costly delays.
